Terms of Service
These Terms of Service ("Terms") govern the business relationship between LAIYI JEWELRY CO., LTD. ("LAIYI," "Manufacturer," "we," "us") and any business client ("Client," "you," "your") that requests a quote, places a sample order, or places a bulk order for OEM/ODM jewelry manufacturing. By submitting an inquiry or placing an order, you agree to these Terms.
1. Definitions
- "OEM" — Original Equipment Manufacturing. Client provides a complete, ready-to-produce design. LAIYI manufactures it.
- "ODM" — Original Design Manufacturing. Client provides a concept; LAIYI handles CAD design, prototyping, and production.
- "MOQ" — Minimum Order Quantity. The smallest number of units we accept for a single SKU per order.
- "Sample Order" — a small pre-production run (typically 1–5 units) used to validate design, finish, and fit before committing to a bulk order.
- "Bulk Order" — the production run after sample approval.
2. Quotes & Pricing
- All quotes are valid for 30 days from the date of issue, unless stated otherwise in writing.
- Prices are quoted in USD (or EUR, on request) and are EXW Bangkok (Incoterms 2020) unless otherwise agreed.
- Prices do not include destination-country import duties, taxes, or customs clearance fees (paid by Client).
- Metal market fluctuations (gold, silver, copper) >5% may trigger a price re-quote before order confirmation.
- Sample orders are billed separately and are non-refundable (see Sample & Order Policy).
3. Minimum Order Quantities (MOQ)
- S925 Sterling Silver: MOQ 10 pieces per design.
- Brass / copper base: MOQ 30 pieces per design.
- 9K / 14K / 18K gold (vermeil or solid): MOQ 5 pieces per design (gold price quoted separately at the time of order).
- Custom CAD / mold: separate tooling fee applies (see Section 5).
4. Lead Times
Lead times are calculated from receipt of confirmed purchase order + deposit, not from the inquiry date.
- ~2 weeks for products using an existing mold (previously produced by LAIYI; no new tooling required).
- 3–4 weeks for products that require a new mold (first-time design, new size, or new stone setting).
- + 1–2 weeks for ODM projects (concept → CAD → sample → production).
Lead times are estimates and may vary with order volume, stone sourcing, plating capacity, and holiday seasons. A firm delivery date is committed in the order confirmation.
5. Tooling, Molds & IP
- Tooling fees for new molds are quoted separately and are non-refundable once production has begun.
- Once a mold has been paid for, it is the property of the Client. LAIYI stores molds for 24 months from the last order; thereafter, the Client must confirm re-storage in writing.
- Intellectual Property: All designs, CAD files, branding, and logos provided by the Client remain the Client's property. LAIYI will not share, copy, or reproduce them for any third party. LAIYI may showcase finished products in our portfolio (website, social media, trade shows) only with the Client's written consent.
6. Payment Terms
- Sample orders: 100% upfront.
- Bulk orders: 50% deposit upon order confirmation, 50% balance before shipment (after QC photos/video approval).
- Accepted methods: Bank wire (T/T), PayPal (for samples only), Wise, or Alibaba Trade Assurance (for new clients).
- All bank fees (intermediary banks) are paid by the Client.
- Late payment: interest of 1.5% per month may be charged on overdue balances.
7. Quality Control & Inspection
- Every order goes through a multi-step QC process (raw material, casting, soldering, stone setting, plating, final inspection).
- Pre-shipment photos and short QC video are sent for Client approval.
- Third-party inspection (SGS, Bureau Veritas, TÜV) is welcome and can be arranged at the Client's expense.
- Industry-acceptable defect rate: ≤2% on bulk orders. Defective units are typically compensated by replacement or credit on the next order.
8. Shipping & Risk
- Standard shipping: DHL Express, FedEx, or EMS. Shipping cost is paid by the Client.
- Risk of loss transfers to the Client when goods are handed to the carrier (EXW Bangkok).
- Insurance: optional, available at 1% of declared value.
- Lead time for shipping: typically 3–7 business days (DHL Express to most countries).
- Customs duties, import taxes, and clearance costs in the destination country are the Client's responsibility.
9. Returns, Refunds & Cancellations
See our Sample & Order Policy for full details. Summary:
- Sample orders are non-refundable.
- Bulk orders: cancellations are accepted within 48 hours of deposit with a 20% administrative fee. After production begins, no cancellation is possible.
- Defective products: must be reported within 7 days of receipt with photo/video evidence. Replacement or credit issued after investigation.
- Custom-made products (designed per Client specification) are non-returnable except for verified defects.
10. Compliance & Ethical Sourcing
- LAIYI is a member of the Responsible Jewellery Council (RJC) and complies with the RJC Code of Practices.
- We source metals and stones from conflict-free, RJC-certified suppliers.
- We comply with the Dodd-Frank Act (Section 1502) on conflict minerals and the EU Conflict Minerals Regulation.
- We follow the Kimberley Process for diamonds.
- Customs documentation: Certificate of Origin (Thailand), RJC Chain of Custody (where applicable), material test reports (SGS) on request.
11. Limitation of Liability
To the maximum extent permitted by law, LAIYI's total liability for any claim arising from an order is limited to the amount paid by the Client for that specific order. LAIYI is not liable for indirect, incidental, or consequential damages (lost profits, lost business opportunities, brand damage).
12. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including but not limited to: natural disasters, government actions, war, pandemic, civil unrest, port closures, carrier disruptions, or material shortages. The affected party will notify the other in writing within 7 days.
13. Governing Law & Disputes
- These Terms are governed by the laws of the Kingdom of Thailand.
- Disputes will first be resolved by good-faith negotiation between the parties.
- If negotiation fails, disputes will be settled by arbitration at the Thai Arbitration Institute (TAI) in Bangkok, in the English language.
- Notwithstanding arbitration, either party may seek injunctive relief in a court of competent jurisdiction.
14. Modifications
LAIYI may update these Terms from time to time. The current version is always posted on this page with the "Last updated" date. For active orders, the Terms in effect at the time of order confirmation apply.
